Terms of Service

Eligibility

You must be the age of majority in your jurisdiction (usually 18 years or older) and capable of entering into a binding contract. By registering, you represent that you meet this requirement.

Account Credentials

You are responsible for maintaining the confidentiality of your login credentials. If you use a Google account to sign in, you must also adhere to Google's terms and security procedures.

Account Usage

You are responsible for all activities that occur under your account. Notify us immediately at info@caryoyo.com of any unauthorized use or security breach. We will not be liable for any loss or damage arising from your failure to safeguard your account information.

Account Information

You agree not to impersonate anyone or use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms or that are suspected of unauthorized activity.

Data Processing

When you upload a CSV file (for example, a Turo trip earnings report), our system will extract the relevant information needed (e.g. trip dates, earnings, vehicle details) and store those details in your account. We do not permanently store the original CSV file; after parsing the file to obtain the necessary data, the original file is discarded from our systems.

Data Usage

The extracted data is used solely to provide you with analytics and insights on the platform. We do not sell your personal data or share it with third parties except as necessary to operate the Service (or as required by law, as detailed in the Privacy Policy).

Data Security

We implement standard security measures to protect your data. However, no method of transmission or storage is 100% secure. By using the Service, you understand that there is some risk of data breaches or unauthorized access, and you provide data at your own risk.

Account Deletion & Data Removal

You may request deletion of your account at any time by contacting us at info@caryoyo.com. Upon your request (or if you choose to use any self-service account deletion feature we provide), we will delete or anonymize the personal data associated with your account within a reasonable timeframe. This means all trip data and analytics we have stored for you will be removed from our active databases. (Please note that we may retain certain minimal information as required for legal compliance or backup purposes, in accordance with our Privacy Policy.)

Violate Laws or Rights

Use the Service for any unlawful purpose or in violation of any local, provincial, federal, or international laws. This includes respecting all applicable privacy laws and the terms of any third-party service (such as Turo) from which you obtain data.

Improper Use of Data

Upload content or data that you do not have the right to use or share. You should only upload trip data that relates to your own activities or that you are authorized to use. You must ensure that uploading your CSV or data to our Service does not violate any agreement (for example, any agreement you have with the third-party platform that provided the data).

Interference with Service

Attempt to interfere with, disrupt, or disable the Service or servers (e.g., by introducing viruses, malware, or any other code that could harm the Service or other users' data).

Reverse Engineering

Attempt to reverse engineer, decompile, or otherwise extract the source code or underlying components of our software or platform. Also, do not bypass or circumvent any security measures we have in place.

Abusive Behavior

Engage in any activity that could harm or harass other users or our platform. This includes attempting to gain unauthorized access to other accounts, or any form of data mining or scraping of our Service beyond the intended use (uploading your data and viewing your analytics).

Impersonation and Misrepresentation

Misrepresent your identity or affiliation when using the Service. You must not imply that you are associated with or endorsed by Caryoyo or any third party if that is not true.

Caryoyo Branding

The Caryoyo name, logo, and any related brand elements are trademarks or service marks owned by us. You may not use our trademarks or branding without our prior written consent.

License to Use Service

We grant you a limited, revocable, non-transferable, non-exclusive license to use the Service for your personal use in accordance with these Terms. You may not copy, reproduce, distribute, or create derivative works from our content or software except as explicitly allowed by us.

Your Content

As noted, you retain ownership of the data you upload to Caryoyo. These Terms do not give us ownership of your data; however, you grant Caryoyo a worldwide, royalty-free license to use, host, copy, display, and create derivative works from your data solely for the purpose of operating and improving the Service. This license ends when you delete the data or terminate your account (except for any backup or legal archival copies, if applicable).

Third-Party Trademarks and Content

All trademarks, logos, or service marks that appear in your data or on our Service that belong to third parties (for example, the name "Turo" or any other platform names) remain the property of their respective owners. Such third-party names or marks are used only for identification purposes to describe or identify the source of data or compatibility of our Service. Use of any third-party trademark within Caryoyo does not imply any affiliation with or endorsement by that third party. In particular, Caryoyo is not affiliated with Turo Inc. and does not have any partnership or endorsement from them. "Turo" is a registered trademark of Turo Inc., and any reference to it is for lawful informational use only.

No Guarantee of Accuracy

While we strive to provide useful and accurate analytics, we do not warrant or guarantee that the calculations, summaries, or ROI estimates on our platform are complete, reliable, or 100% accurate. The insights we provide are based on the information you supply (your uploaded data) and our own algorithms and assumptions. There may be errors, omissions, or inaccuracies in the data analysis. You should independently verify any critical information. The Service's outputs are for informational purposes only and should not be relied upon for financial, legal, tax, or investment decisions.

No Financial or Professional Advice

Caryoyo is not providing financial, investment, or tax advice. Nothing on our Service constitutes a professional consultation. If you need financial or business advice regarding your car-sharing activities, you should consult a qualified professional. We simply offer a tool to help you review and visualize your own data.

Service Availability

We do not guarantee that the Service will be uninterrupted, error-free, or secure. There may be times when the Service is unavailable due to maintenance, technical issues, or reasons beyond our control. We do not warrant that any defects or errors will be corrected immediately.

Implied Warranties

Any implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement are expressly disclaimed. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, our warranties will be limited to the greatest extent permitted by law.

Errors or Inaccurate Data

Any harm or losses resulting from decisions you make based on the analytics or information provided by the Service. (For example, if the Service's estimation of your earnings or ROI is inaccurate or incomplete, we are not responsible for any consequences of you relying on it.)

Unauthorized Access

Any unauthorized access to or use of our servers and/or any personal information or data stored therein, unless caused by our gross negligence. While we take security seriously, you acknowledge that no platform is perfectly secure.

Service Downtime

Any interruption or cessation of transmission to or from the Service, and any bugs, viruses, or the like that may be transmitted to or through our Service by any third party.

Third-Party Actions

Any issues arising from services or content provided by third parties (such as errors in the data provided by a third-party platform like Turo, or actions of third-party authentication providers like Google).

Maximum Liability

If, notwithstanding the above, Caryoyo is found liable for any claim arising out of or related to the Service, our aggregate liability to you for all claims in any given calendar year will not exceed the amount (if any) that you paid us for the Service in that period. If you have paid us nothing (for example, if the Service is provided free of charge), our total liability shall be zero to the fullest extent permitted by law.

By You

You are free to stop using Caryoyo at any time. If you wish to terminate your account, you may do so by contacting us at info@caryoyo.com or using any account deletion feature provided. Account termination will result in deactivation of your access to the Service, and as noted, we will delete your stored data in accordance with our data retention practices (see Section 4 and the Privacy Policy).

By Us

We reserve the right to suspend or terminate your access to the Service (or delete your account) at our sole discretion, with or without notice, if you violate these Terms or if we otherwise determine that it's necessary (for example, if you are misusing the Service, if continued access poses security risks, or if we discontinue the Service). We may also suspend the Service or your account for scheduled maintenance or if required by law or by request of law enforcement.

Effect of Termination

Upon termination (by either party), your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, limitation of liability, indemnity, governing law, etc.) will continue to apply even after your use of the Service ends.

Termination of your account does not relieve you of any obligations you incurred or liabilities that accrued prior to the termination. If your account was terminated due to a breach of these Terms, we may also pursue other legal remedies available to us.

Jurisdiction

You agree that any disputes or claims arising out of these Terms or your use of the Service shall be brought exclusively in the courts of the Province of British Columbia. Specifically, you agree to submit to the personal and exclusive jurisdiction of the provincial and federal courts located in Vancouver, British Columbia for the purpose of litigating all such disputes. You waive any objections to the venue of those courts on grounds of inconvenience or otherwise.

Notwithstanding the above, Caryoyo may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Caryoyo regarding your use of the Service. They supersede any prior agreements or understandings, whether written or oral, relating to the Service.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of compliance in one instance does not mean we will waive compliance in the future.

Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms or any rights hereunder to any third party at our sole discretion, for example in the event of a merger or acquisition.

Language

These Terms are provided in English. If we provide a translation of these Terms, the English version will prevail in case of any conflict or ambiguity in interpretation.
